EXPRESSION OF INTEREST (EOI)

1. INTRODUCTION
The National Inland Waterways Authority (NIWA), a parastatal under the Federal Ministry of Transportation (FMOT) with Headquarters at Lokoja, Kogi state saddled with the responsibility of managing, regulating and maintaining inland waterways. In line with the Public Procurement Act, 2007 hereby invites reputable and experienced contractors/Consultants to submit tenders for the under listed projects contained in the year 2023 Budget Appropriation.

2. SCOPE OF PROJECTS

EXPRESSION OF INTEREST
Lot 26 Engagement of Auctioneer
Lot 27 Engagement of Marine River-crafts Valuer.

3. ELIGIBILITY REQUIREMENTS
a) Evidence of Certificate of Incorporation issued by Corporate Affairs Commission (CAC) including Forms CAC 1.1 or CAC 2 and CAC7 or business name with form BN1 is also acceptable for services;
b) Evidence of Company’s Income Tax Clearance Certificates (or personal Income Tax Clearance Certificates for all partners) for the last three (3) years valid till 31st December 2023;
c) Evidence of Pension Clearance Certificate valid till 31st December, 2023 (this requirement is only applicable to bidders whose number of staff is 15 and above).
d) Evidence of Industrial Training Fund (ITF) Compliance Certificate valid till 31st December, 2023 (this requirement is only applicable to bidders whose number of staff is 5 and above or the bidder’s annual turnover is N50m and above);
e) Evidence of current Nigeria Social Insurance Trust Fund (NSITF) Compliance Certificate valid till 31st December, 2023;
f) Evidence of Registration on the National Database of Federal Contractors, Consultants and Service Providers by submission of Interim Registration Report (IRR) expiring on 31/12/2023 or valid Certificate issued by BPP;
g) Sworn affidavit
• disclosing whether or not any officer of the relevant committees of the National Inland Waterways Authority or Bureau of Public Procurement (BPP) is a former or present Director, shareholder or has any pecuniary interest in the bidder and to confirm that all information presented in its bid are true and correct in all particulars;
• That no director has been convicted in any county for any criminal offence relating to fraud impropriety or criminal misrepresentation of falsification of facts relating to any matter.
• That the company is not in receivership, the subject of any form or bankruptcy proceedings of the subject of any form of winding up petition or proceeding
• That the company does not have existing loan or financial liability with a bank, other financial institutions of third party that is classified as doubtful, non-performance, bad or whose repayment portion has been outstanding for the last four (4) months.
h) Company’s Audited Accounts for the last three years (2020, 2021 & 2022);
i) Reference letter from a reputable commercial bank indicating willingness to provide credit facility for the execution of the project when needed;
j) Company’s profile with the curriculum Vitae of key staff to be deployed for the project, including copies of their academic/professional qualifications etc;
k) Verifiable documentary evidence of at least three (3) similar jobs executed in the last five (5) years including letters of awards, valuation certificates, job completion certificates and photographs of the projects;
l) Services: Evidence of firm’s current registration with relevant regulatory professional bodies whose expertise is required for the successful delivery of the project.
m) For Joint Venture/Partnership, Memorandum of Understanding (MoU) should be provided (CAC, Tax Clearance Certificates, Pension Clearance Certificate, ITF Compliance Certificate, NSITF Clearance Certificate, IRR & Sworn affidavit are compulsory for each JV Partner);
n) All documents for submission must be submitted with a Covering/Forwarding letter under the Company’s letter head paper bearing amongst others, the Registration Number (RC) as issued by the CAC, Contact Address, Telephone Number (preferably GSM No) fax and email address. The letter head paper must bear the Names and Nationalities of the Directors of the company at the bottom of the page, duly signed by the authorized officer of the firm.

4. SUBMISSION OF TENDER DOCUMENTS
PRE-QUALIFICATION/EXPRESSION OF INTEREST (EOI)
Interested firms should submit two (2) bound Pre-Qualification/EOI documents duly signed, paginated separated by dividers, and arranged in the order outlined hereunder:
Thereafter, put the two sealed envelopes together in a bigger sealed envelope addressed to The Managing Director, National Inland Waterway Authority, Headquarters, Adankolo New layout, Lokoja, Kogi State and clearly marked with the title of the project and lot number.
Furthermore, the reverse of each sealed envelope should bear the name and address of the bidder and b dropped in the designated “Tender Box” in Room D, Block D of the Procurement Department at NIW Headquarters, Lokoja, Kogi State not later than 12:00noon on Wednesday, 14th June ,2023.

5. OPENING OF EOI
EXPRESSION OF INTEREST (EOI)
Expression of Interest will be opened immediately after the closing date of submission at 12:00 noon on Wednesday, 14th June, 2023 at the Conference Hall of NIWA Headquarter Lokoja.
Please ensure that you sign the Eol Submission Register in the Procurement Department of the Authority, as the Authority shall not be held liable for misplaced or wrong submitted Pre-Qualification/Eol documents. 6. GENERAL INFORMATION (ATTENTION)
a. EOIs must be in English Language and signed by an official authorized by the bidders
b. EOI submitted after the deadline for submission would be returned unopened;
c. All EOIs must be written with indelible ink, those written with a pencil will be rejected.
d. All cost will be borne by the bidders
e. The EOIs will be opened in the presence of CSOs and professional bodies and covered by video recording; invitation link will be sent to bidder who choose to join the EOI opening online;
f. Only shortlisted firms will be invited at a later date for collection of Request for Proposals/tender documents respectively;
g. Due diligence/post qualification will be conducted as all documented claims by the contractors are subject to verification
h. NIWA not bound to prequalify and bidder reserves the right to annul the procurement process at any time without incurring any liabilities in accordance with section 28 of the Public Procurement ACT 2007.

3. ELIGIBILITY REQUIREMENTS
Prospective bidder should submit the following documents:
i. Certificate of Incorporation issued by the Corporate Affairs Commission (CAC), including Certified True Copy of form CAC7 and CAC 2.1 or CAC1.1 Business name with Form BN1 is also acceptable for Brokers;
ii. Copy of the Company’s Income Tax Clearance Certificates (or personal Income Tax Clearance Certificates for all partners) for the last three (3) years (2019, 2020 and 2021) valid till 31st December 2023;
iii. Evidence of current pension compliance certificate valid till 31st December 2023 (applicable where number of staff is at least 15);
iv. Evidence of current Industrial Training Fund (ITF) Compliance certificate valid till 31st December 2023 (applicable where number of staff is at least 5 or at least 50m turnover;
v. Evidence of Registration on the National Database of Federal Contractors, Consultants and Service Providers by submission of Interim Registration Report (IRR) expiring on 31/12/2023 or valid Certificate issued by BPP;
vi. Evidence of current Nigeria Social Insurance Trust Fund (NSITF) Compliance Certificate valid till 31st December, 2023;
vii. A sworn affidavit:
• disclosing whether or not any officer of the relevant committees of the Nigerian Maritime Administration and Safety Agency or Bureau of Public Procurement (BPP) is a former or present Director, shareholder or has any pecuniary interest in the bidder and to confirm that all information presented in its bid are true and correct in all particulars;
• that none of the company’s Directors has been convicted in any law court for any criminal offence including fraud and financial impropriety; and
• that the company is not receivership, bankrupt or insolvent
viii. Company’s Audited Accounts for the last three years (2020, 2021 & 2022);
ix. Reference letter from a reputable commercial bank indicating willingness to provide credit facility for the execution of the project when needed;
x. Documentary evidence of at least three (3) similar jobs successfully executed/on-going within the last five (5) years including letters of award, valuation/job completion certificate etc)
xi. Insurance Brokers: (a) valid operational licence certificate issued by NAICOM; (b) certified true copy of Audited accounts approved by NAICOM; (c) valid and current professional indemnity policy with limit of indemnity not less than N10million for protection against wrong advice
xii. Underwriters: (a) operational licence issued by NAICOM, (b) Valid and adequate re-insurance Treaty arrangement and (c) certified True copy of Audited accounts approved by NAICOM;
xiii. Company’s profile with the curriculum Vitae of key staff to be deployed for the project, including copies of their academic/professional qualifications;
xiv. Company’s Health, Safety and Environment (HSE) policy;
xv. Premium payable for Marine Hull shall be in Naira and US Dollar as applicable;
xvi. All documents for submission must be submitted with a Covering/Forwarding letter under the Company’s letter head paper bearing amongst others, the Registration Number (RC) as issued by the CAC, Contact Address, Telephone Number (preferably GSM No) fax and email address. The letter head paper must bear the Names and Nationalities of the Directors of the company at the bottom of the page, duly signed by the authorized officer of the firm.
Note: Period of Insurance/Cover is one (1) year or 365 days.

4. SUBMISSION OF EXPRESSION OF INTEREST (EOI)
EOI documents shall be clearly marked “EXPRESSION OF INTEREST” stating the company name and the “Project Title”. The EOI shall be submitted in duplicate on or before 11:00am on Tuesday, 30th May, 2023 to the address below

The Head Procurement, 5th floor, The Nigerian Maritime Administration and Safety Agency (NIMASA), No. 4 Burma Road, Apapa, Lagos. Submission on the last day shall be done at the BID OPENING Venue before the closing time. Late submissions will be returned unopened.

5. OPENING OF EXPRESSION OF INTEREST
The EOI shall be opened immediately after the deadline for submission at 11:00am Tuesday, 30th May 2023, at NIMASA Multi-Purpose Hall of NMRDC, Kirikiri, Apapa, Lagos Office. Bidder or their representatives, relevant professional bodies and Non-Governmental Organizations (NGOs) are invited to witness the opening exercise and shall register evidencing their attendance on the date of the bid opening.

7. NOTATION
i. The document should be arranged in the order listed at 3.0 above and clearly separated by dividers
ii. No tender fee is required at this stage
iii. Failure to submit all the required documents stated above shall lead to the disqualification of the bid.
iv. Only shortlisted firms will be invited at a later date for collection of Request for Proposals;
v. 2% bid security would be required for services above N100,000,000.00 at Request for proposal (RFP) stage if pre-qualified;
vi. No bidder should bid for more than two (2) lots
vii. All CAC, PENCOM, ITF, NSITF and Tax Clearance submitted may be referred to Security Agencies, Corporate Affairs Commission (CAC), Federal Inland Revenue Service (FIRS), Industrial Training Fund (ITF), National Pension Commission and other relevant bodies for verification;
viii. This notice shall not be construed to be a commitment on the part of Nigerian Maritime Administration and Safety Agency to award any form of contract to any respondent or entitle any company/firm submitting documents to claims any indemnity from the Agency;
ix. EOI document shall be submitted in person and not through post. Amu bid submitted through a post shall not be accepted;
x. Bidders shall be responsible for all costs in preparation and submission of Bid;
xi. Bidders are advised to read this solicitation carefully as failure to follow instructions shall lead to disqualification;
xii. NIMASA is not bound to prequalify and bidder reserves the right to annul the procurement process at any time without incurring any liabilities in accordance with section 28 of the Public Procurement ACT 2007.
